These Terms of Service ("Terms") govern your access to and use of Gymisphere ("Service"), operated by Gymisphere LLC ("we," "us," or "our"). By creating an account and completing onboarding you agree to be bound by these Terms. If you do not agree, do not use the Service.
Gymisphere is a gym management platform that provides tools for member management, class scheduling, billing, waivers, and communications for martial arts and fitness gyms.
You must be at least 18 years old and have authority to bind your organization to these Terms. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
Gymisphere integrates with third-party payment processors including Stripe and Square. You may connect your own accounts with these processors ("Bring Your Own") or use Gymisphere Payments, our managed payment solution.
Gymisphere Payments. When you use Gymisphere Payments, we provision a Stripe connected account on your behalf. A platform fee of 1% of each transactionis retained by Gymisphere before funds are disbursed to your connected account. This fee covers payment infrastructure, fraud monitoring, and platform maintenance. The fee is visible in your Stripe Express dashboard as an "Application fee" on each transaction.
Bring Your Own processors. When you connect your own Stripe or Square account, no platform fee is retained by Gymisphere on transactions. Standard processing fees charged by those processors apply independently.
All fees are subject to change with 30 days' written notice to your registered email address.
Access to Gymisphere is provided on a subscription basis. Subscription pricing is presented at sign-up and may be updated with 30 days' notice. You authorize us to charge your payment method on a recurring basis until you cancel. Cancellation takes effect at the end of the current billing period.
You retain ownership of all data you upload or generate through the Service, including member information, waivers, and payment records. We process your data in accordance with our Privacy Policy. We do not sell your data or your members' data to third parties.
You agree not to use the Service to:
Gymisphere provides tools to create and distribute liability waivers. We do not provide legal advice. You are solely responsible for ensuring that any waiver or legal document you create through the Service is valid and enforceable under applicable law. We recommend consulting a licensed attorney to review your waivers.
The Service, including its software, design, and content, is owned by Gymisphere LLC and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GYMISPHERE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID TO GYMISPHERE IN THE 12 MONTHS PRECEDING THE CLAIM.
Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination, you may export your data for 30 days before it is deleted.
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association.
We may update these Terms from time to time. We will notify you by email and update the effective date above. Continued use of the Service after changes constitutes acceptance.
